These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and VentureSense Technologies LLP ("Zurvek", "Company", "we", "us"). They govern your access to and use of the Zurvek platform, the Zurvek Engine, OriZin, the on-screen Investment Memo, the CENTRA interface, and every related API, dashboard, email, and export (collectively, the "Service").

By creating an account, uploading a deck, or clicking "I agree", you confirm you have read, understood, and accepted these Terms and our Privacy Policy, Refund Policy, Cookie Policy, and Security Statement.

1.Definitions

• Service — the Zurvek platform including web app, engine, OriZin, memos, dashboards, and APIs.
• User — any natural person or legal entity that accesses the Service.
• Founder — a User uploading their own venture's information for evaluation.
• Investor — a User evaluating third-party ventures through the Service.
• Committee — the simulated investment committee generated by the Zurvek Engine.
• Verdict — the algorithmic score, rubric, or memo produced by the Service.
• Content — any material a User submits, including decks, financials, URLs, and prompts.
• Anonymized Derivative — non-identifying signals extracted from Content and used for benchmark corpora.

2.Eligibility

You must be at least 18 years old and legally capable of forming a binding contract in your jurisdiction. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.

You may not use the Service if you are located in, ordinarily resident in, or a national of any country or region subject to comprehensive sanctions administered by the UN Security Council, the European Union, the United Kingdom, or the United States Office of Foreign Assets Control.

3.Account, Approval, and Security

Zurvek operates on a Zero-Trust access model. Accounts are created in a pending_approval state and gain full access only after our verification checks pass. We may refuse, suspend, or revoke access at our discretion where verification fails, misuse is suspected, or continued access would violate law or these Terms.

• You are responsible for maintaining the confidentiality of your credentials.
• You must notify us at support@zurvek.com within 24 hours of any suspected unauthorized use.
• You may not share, sell, or transfer your account.
• We may throttle, rate-limit, or block sessions that exhibit automated, scraping, or abusive patterns.

4.Subscription Tiers, Pricing, and Billing

All fees are stated in Indian Rupees (INR) and are exclusive of GST unless stated otherwise.

• Free Tier — 5 lifetime evaluations. Intended for evaluation, not production use.
• Founder's Access — ₹3,999, one-time, for 30 lifetime evaluations.
• Syndicate Plan — ₹34,999 per month for team access and expanded quotas.
• Enterprise — bespoke, contracted separately.

Subscriptions renew automatically unless cancelled before the renewal date via your account settings or by email. GST invoices are issued through the account dashboard. We may change pricing with at least 30 days' prior notice; changes apply to renewals only, never mid-cycle. Consumed evaluations and add-ons are non-refundable except where expressly stated in the Refund Policy. OriZin's Founder's Access has no application fee.

5.OriZin (Founder Access) Terms

OriZin is Zurvek's permanent founder product. It is always open — there is no cohort, no seat count, no application window, and no closing date. By using OriZin, the Founder agrees to the following:

• Free tier. Every Founder receives 5 lifetime evaluations at no cost, with no application fee at any stage.
• Founder's Access. Founders may optionally purchase Founder's Access for ₹3,999, once, for 30 lifetime evaluations. This is a product purchase, not an application, grant, or investment.
• No grant. OriZin does not award cash grants, loans, prizes, or any discretionary payment. There is no committee selection process gating access.
• No equity. Zurvek does not acquire equity, warrants, SAFE, convertible notes, revenue share, or any economic interest in the Founder's venture through OriZin.
• IP retained by Founder. All submitted deck, product, and business IP remains the Founder's. Zurvek receives only the limited licence in §7.
• Idea fingerprinting. Submitted decks are hashed for duplicate detection. Substantially identical resubmissions may be rejected without additional review.
• Beware of impersonators. Anyone asking you to pay a fee to access OriZin beyond the stated Founder's Access price is not affiliated with Zurvek. Report to support@zurvek.com.

6.Acceptable Use

You will not, and will not permit any third party to:

• Reverse-engineer, decompile, or attempt to extract the Zurvek Engine's prompts, weights, or scoring internals.
• Scrape, index, or bulk-download the Service or its outputs.
• Upload Content you do not have the legal right to submit, including a third party's deck or financials without written consent.
• Use the Service to build a competing evaluation engine, benchmark corpus, or LLM training set.
• Upload unlawful, defamatory, harassing, discriminatory, sexually explicit, or malware-bearing Content.
• Attempt to bypass tier limits, quota gates, rate limits, or the Zero-Trust access flow.
• Present Verdicts as certified, audited, or advisory outputs to LPs, regulators, or investees.
• Use the Service in any manner that would cause Zurvek or its processors to violate applicable law.

7.Intellectual Property and Licences

Your Content. You retain all right, title, and interest in Content you submit. You grant Zurvek a worldwide, royalty-free, non-exclusive licence to host, process, analyze, index, cache, and display your Content solely to operate and improve the Service for you.

Anonymized Derivatives. With your continued use, you grant Zurvek a perpetual, irrevocable licence to retain and use Anonymized Derivatives — stripped of identifiers, logos, names, and any information reasonably traceable to your venture — to improve models, calibrate benchmarks, and publish aggregate statistics. You may opt out by writing to support@zurvek.com; opt-out is prospective and does not require deletion of already-computed aggregates.

Our IP. The Zurvek Engine, CENTRA interface, rubrics, prompts, model routing, user interface, source code, trade dress, and all trademarks (including "Zurvek", "OriZin", "CENTRA", "Zurvek Engine", "Fair Start") are the exclusive property of VentureSense Technologies LLP. Your subscription grants a limited, non-exclusive, non-transferable, revocable licence to use the Service and to view and export Verdicts consistent with your tier.

Feedback. Any feedback, suggestion, or idea you send us is non-confidential and may be used by us without obligation or compensation.

8.Analytical, Not Advisory

Zurvek does not provide investment advice. The Service surfaces friction, alignment, risk, and uncertainty. It does not tell you to invest, reject, buy, sell, allocate, or fund. It does not predict returns. Every Verdict, memo, score, and rubric is an algorithmic opinion generated at a point in time from probabilistic models and incomplete data. Verdicts may contain false positives, false negatives, omissions, and misinterpretations.

You are solely responsible for your investment, allocation, funding, hiring, and business decisions. You must conduct independent due diligence, obtain professional advice, and follow your internal IC, LP, regulatory, and risk-management procedures before acting.

9.AI Model Disclosure

The Zurvek Engine is powered by large language models routed through the Lovable AI Gateway, currently including google/gemini-3-flash-preview. Model providers may change without notice. Zurvek does not sell or license your Content to model providers for training. Providers may retain requests briefly for abuse monitoring per their published policies.

10.Third-Party Services

The Service integrates with payment processors, email providers, cloud infrastructure, and analytics providers listed in our Privacy Policy. Your use of those integrated services is governed by their respective terms. Zurvek is not responsible for third-party outages, data handling, or policy changes.

11.Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or that Verdicts will match real-world outcomes.

12.Limitation of Liability

To the maximum extent permitted by law, Zurvek, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, loss of goodwill, missed investment opportunities, or losses from reliance on any Verdict, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility.

Zurvek's total aggregate liability for all claims arising out of or relating to the Service in any 12-month period shall not exceed the greater of (a) the fees actually paid by you to Zurvek in the 12 months preceding the event giving rise to the claim, or (b) INR 10,000.

13.Indemnification

You agree to defend, indemnify, and hold harmless Zurvek and its personnel from any claim, loss, or expense (including reasonable attorney fees) arising out of (i) your Content, (ii) your use of the Service in breach of these Terms, (iii) your violation of law, or (iv) your infringement of any third-party right. Zurvek will provide prompt notice of any claim and reasonably cooperate in the defense.

14.Suspension, Termination, and Data Export

We may suspend or terminate your access immediately for material breach, suspected fraud, non-payment, security risk, or unlawful activity. You may terminate at any time by cancelling your subscription and closing your account. On termination:

• You have a 30-day window to export Verdicts and account data via the dashboard.
• Content and personal data are deleted or anonymized within 90 days per the Privacy Policy.
• Sections 6–13, 16, 17, and any accrued payment obligations survive termination.

15.Changes to the Service and to these Terms

We may modify, add, or discontinue features at any time. We may update these Terms; material changes will be notified at least 30 days in advance by email or in-app notice. Continued use after the effective date constitutes acceptance.

16.Governing Law and Dispute Resolution

These Terms are governed by the laws of India, excluding conflicts-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English. Subject to the above, the courts of Bengaluru shall have exclusive jurisdiction. Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.

17.Data Protection and Grievance

We process personal data in accordance with the Digital Personal Data Protection Act, 2023 ("DPDP Act") and applicable rules. Detailed disclosures, retention, and rights are set out in the Privacy Policy. Grievances may be addressed to our Grievance Officer at /grievance-officer with a 30-day response SLA.

18.Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, epidemics, internet, cloud, or upstream model provider outages.

19.Miscellaneous

• Entire agreement. These Terms, together with the linked policies, are the entire agreement between the parties.
• Assignment. You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is held unenforceable, the remainder remains in force.
• No waiver. Failure to enforce a right is not a waiver.
• Notices. Legal notices to Zurvek must be sent to support@zurvek.com with subject "Legal Notice".
• Language. English is the controlling language; translations are convenience only.
